Terms of Service

These terms govern your use of Protodesk. Please read them carefully. If you do not agree, do not use the service.
1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and Protodesk ("Protodesk", "we", "us"). By creating an account, accessing, or using Protodesk, you agree to these Terms. If you are using Protodesk on behalf of an organization, you represent that you have authority to bind that organization.
2. Account
- You must be at least 16 years old and legally able to enter into a contract.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Notify us immediately at security@protodesk.io of any unauthorized access.
3. Plans, billing, and payment
- Free plan. Available at no cost, subject to plan limits. We may modify Free plan limits with 30 days' notice.
- Paid plans. Billed monthly or annually in advance. Fees are non-refundable except as required by law.
- 7-day Pro trial. Every new workspace gets Pro features layered on Free for 7 days. No credit card required. At trial end, the workspace remains on Free unless you upgrade.
- AI credits. One credit = one AI action. Purchased credits are non-refundable but do not expire.
- Taxes. Fees exclude applicable taxes, which you are responsible for.
- Late payments. If a payment fails, we may suspend your paid features until payment is received.
- Refunds. Pro-rated refunds may be granted at our discretion for service outages exceeding our commitments or on a case-by-case basis.
4. Acceptable use
You will not, and will not permit others to:
- Use Protodesk to send spam, phishing, malware, or harassment.
- Violate any law, regulation, or third-party right.
- Attempt to probe, scan, or breach security of the service.
- Abuse AI features (e.g., generating illegal content, attempting to jailbreak or exfiltrate prompts).
- Violate channel-specific policies — including the WhatsApp Business Policy, CAN-SPAM, CASL, and equivalent regulations for channels you connect.
- Reverse-engineer or resell the service.
We may rate-limit, suspend, or terminate accounts that violate these rules.
5. AI output
- AI-generated content may be inaccurate, incomplete, or misleading. You are responsible for reviewing AI drafts before sending and for any content sent under your account.
- You own the output you send through Protodesk. We make no claim to outgoing customer communications.
- We provide no warranty that AI output will be correct, suitable, or non-infringing.
6. Your content
- You retain all ownership rights in content you submit to Protodesk ("Customer Content").
- You grant us a limited, worldwide, royalty-free license to host, process, and transmit Customer Content solely to provide and improve the service.
- You represent that you have all rights and consents necessary to submit the Customer Content.
7. Intellectual property
The Protodesk name, logo, and service are owned by Protodesk. Nothing in these Terms transfers any IP to you beyond the limited license to use the service. If you submit feedback or suggestions, we may use them without obligation.
8. Confidentiality
Each party agrees to protect the other's non-public information using reasonable care and not disclose it except as required to provide the service or by law.
9. Third-party services
Protodesk integrates with third-party services (OpenRouter, Postmark, Lemon Squeezy, Meta WhatsApp, and others). Your use of those services is subject to their own terms. We are not responsible for third-party services.
10. Service availability
We aim for high availability but do not guarantee uninterrupted service except under an Enterprise SLA. We may perform scheduled maintenance with advance notice where practical.
11. Termination
- By you. You may cancel your subscription at any time from the billing page. Cancellation takes effect at the end of your current billing cycle.
- By us. We may suspend or terminate your account for breach of these Terms, non-payment, or legal requirements. We may also terminate for convenience with 30 days' notice.
- Effect of termination. Upon termination, your access to paid features ends. You may export your data within 30 days; after that, we may delete it per our Privacy Policy.
12. Data export
For 30 days after termination, you can export your Customer Content from the dashboard. Contact us at hello@protodesk.io if you need assistance.
13. Warranties & disclaimers
Protodesk is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI output.
14. Limitation of liability
To the maximum extent permitted by law, Protodesk is not liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to these Terms is limited to the amounts you paid us in the twelve (12) months preceding the claim, or USD $100 if you are on a free plan.
15. Indemnification
You agree to indemnify and hold Protodesk harmless from any claims, damages, or costs arising out of your Customer Content, your violation of these Terms, or your violation of any law or third-party right.
16. Governing law & dispute resolution
These Terms are governed by the laws of the jurisdiction in which Protodesk is incorporated, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of that jurisdiction, unless otherwise required by mandatory consumer protection law.
17. Changes to terms
We may update these Terms from time to time. For material changes we will provide at least 30 days' notice via email or in-app notice. Continued use after the effective date constitutes acceptance of the updated Terms.
